This article focuses on the requirements for registering a limited company in Kenya. A limited company is a type of company where the liability of members is limited to what they have guaranteed to the company or invested.
A company may be limited by shares or guarantee. Companies limited by shares may include private and public limited companies.
For companies limited by guarantee, liability is on the part of its members to contribute a fixed amount of money towards settling debts in case the company wounds up.
The registration of companies in Kenya is carried out by the Registrar of Companies. This is carried out in accordance with the Companies Act, 2015 of the laws of Kenya.
Registration process takes about a week. Once the process is complete, a registration certificate will be available on the ecitizen platform for download. This means that it is necessary to create an account on the ecitizen portal.

1. Details of Directors
- Full names of the directors of the company.
- Occupation of the directors.
- Contact information of the directors including email address, telephone number, postal address and residential address.
- Copy of KRA PIN certificate.
- Passport size photos.
- Copy of ID/ Passport.
2. Company Details
- Proposed name of the company.
- Nature of the business.
- Location of the company.
- The proposed physical address of the company and other contact details such as email and telephone number.
- Articles of association. This basically outlines the rules and regulations that will be key in running the company.
- Objectives of the company.
- Statement of nominal capital/notice of nominal capital share
- Cessation form, which is only applicable to those who are upgrading their businesses to the limited company.
3. Documents to be Signed by Directors
- Memorandum of association.
- Form CR1, application form for registration of the company.
- Form CR2, model memorandum of association.
- Form CR8, notice of residential address of directors.
- Form CR14, application document that reserves the name of the company.
4. Certificate of Incorporation.
5. Necessary Costs
- Name search, Kshs 150.
- Company registration, Kshs 10,650.
